Title
A resolution certifying the persons authorized to act on behalf of the Parish of St. Charles in transacting business with the Parish's broker/dealer, UBS Paine Webber, Inc.
Body
WHEREAS, The Parish of St. Charles designated UBS Paine Webber, Inc. as a broker/dealer; and,
WHEREAS, UBS Paine Webber, Inc. requires a formal designation of the persons authorized by the Parish of St. Charles to transact business with UBS Paine Webber, Inc.
NOW, THEREFORE BE IT RESOLVED, THAT WE, THE MEMBERS OF THE ST. CHARLES PARISH COUNCIL do hereby designate UBS Paine Webber, Inc. (the 'Broker/Dealer') as an authorized depository of the Parish of St. Charles (the 'Parish'); and,
BE IT FURTHER RESOLVED, that the following persons whose names and titles are set forth herein are hereby authorized, on behalf of and in the name of the Parish, to enter into depository contracts, sign checks and to open depository accounts with the Broker/Dealer; and to execute any and all documents necessary for these purposes and any and all instruments for the payment of money from said accounts:

Two signatures are required to sign checks and the Broker/Dealer may honor and charge to the accounts of the Parish any instruments for the payment of money from said accounts executed by such persons, by actual signatures, facsimile signatures or a combination thereof.
BE IT FURTHER RESOLVED, that the following persons whose names are set forth herein are hereby authorized, on behalf of and in the name of the Parish to maintain depository accounts, to make book transfers, to make wire transfers, to request and receive information on said accounts and to execute any and all documents necessary for these purposes:

BE IT FURTHER RESOLVED, that the Broker/Dealer is hereby authorized to rely, and shall at all times be fully protected in its reliance, upon this resolution and upon the authority of the persons designated above as set forth above, unless and until the Broker/Dealer has been notified in writing to the contrary by the St. Charles Parish Director of Finance and a reasonable period of time has expired to permit the Broker/Dealer to communicate such notice to its divisions, departments, and branches.
