ORDINANCE AMENDING
THE FIRST SUPPLEMENTAL ORDINANCE NO. 06-12-28
Title
An Ordinance of the St. Charles Parish Council amending an ordinance ("Ordinance No. 06-12-28 First Supplemental Ordinance") adopted on December 19, 2006, for the purpose of redesignating the Escrow Agent for the Water Revenue Refunding Bonds, Series 2007C, authorized by Ordinance No. 06-12-028 First Supplemental Ordinance, in the total aggregate principal amount of One Million One Hundred Five Thousand Dollars ($1,105,000).

WHEREAS, the St. Charles Parish Council (the "Governing Authority"), adopted Ordinance No. 06-12-28 on December 19, 2006, authorizing the issuance of $1,105,000 Water Revenue Refunding Bonds, Series 2007C (the ASeries 2007C Bonds@), of Consolidated Waterworks and Wastewater District No. 1 of the Parish of St. Charles, Louisiana (the "Issuer")on the terms and conditions set forth in the General Bond Ordinance adopted by the Governing Authority on December 19, 2006; and
WHEREAS, the Governing Authority now wishes to adopt this Ordinance in order to redesignate the Escrow Agent for the Series 2007C Bonds.
NOW, THEREFORE, BE IT ORDAINED by the St. Charles Parish Council, acting as the governing authority of the Issuer:
SECTION 1. The Escrow Agent for the Series 2007C Bonds is hereby redesignated The Bank of New York Trust Company, N.A.,in the City of Baton Rouge, Louisiana, and any other person which may at any time be substituted in the place of the bank pursuant to the General Bond Ordinance.
SECTION 2. Exhibit B entitled ANotice of Defeasance@ and Exhibit C entitled AForm of Defeasance and Escrow Deposit Agreement@ are hereby amended to redesignate The Bank of New York Trust Company, N.A. as Escrow Agent for the Series 2007C Bonds.
SECTION 3. Except as amended herein, the Ordinance No. 06-12-28 First Supplemental Ordinance remains in full force and effect.

And the ordinance was declared adopted on this, the 22nd day of January, 2007, to become effective five (5) days after publication in the official journal.
