WHEREAS, the St. Charles Parish Council (the "Gove­rning Authority"), adopted Ordinance No. ______ on December 19, 2006 (the "General Bond Ordinance"), authorizing the issuance from time to time of Water Revenue Bonds of Consolidated Waterworks and Wastewater District No. 1 of the Parish of St. Charles, Louisiana (the "Issuer") on the terms and conditions set forth in the General Bond Ordinance; and

WHEREAS, the General Bond Ordinance provides that the details of the Bonds of each Series of Bonds issued thereunder shall be specified in a supplemental ordinance adopted by the Issuer authorizing the issuance of such Series of Bonds, subject to the terms, conditions and limitations established in the General Bond Ordinance; and
